Steps To Registration Of Private Limited Company
  1. Name Search Application
    • Submit a name search application to SSM for approval of your chosen company name.
    • A fee of RM30 is applicable for each name.
    • Once approved, the name will be reserved for a period of 3 months.
  2. Submission of Incorporation Documents
    Incorporation documents must be submitted within 3 months of name approval. If not, a new name search application is required.The required documents are:
    • Memorandum and Articles of Association (MAA): Original copies, stamped at RM100 per document at the Inland Revenue Board’s stamp office.
    • Form 48A (Statutory Declaration): A declaration by a director or promoter confirming they are not bankrupt and have no convictions for prescribed offenses.
    • Form 6 (Declaration of Compliance): A declaration by the company secretary confirming compliance with the Companies Act (CA).
    • Original copy of Form 13A.
    • Approval Letter from SSM: A copy of the letter approving the company name.
    • Identity Cards: Copies of the identity cards of all directors and the company secretary.
  3. Registration Fees
    • The minimum registration fee is RM1,000 for an authorized share capital of up to RM400,000.
  4. Certificate of Incorporation
    • Upon fulfilling all incorporation requirements and submitting the necessary documents, SSM will issue a Certificate of Incorporation.

How to Register a Limited Liability Partnership (LLP)

A Limited Liability Partnership (LLP) is an alternative business vehicle governed by the LLP Act 2012. It combines the features of a company and a conventional partnership. An LLP offers benefits similar to a private limited company (Sdn Bhd), such as limited liability and perpetual legal existence, while maintaining lower compliance costs. Unlike Sdn Bhd, an LLP is not required to:

  • Prepare audited accounts
  • Appoint a qualified Company Secretary
Business Name

A business name is crucial for any entity as it not only defines your product or service identity but also acts as a magnet, attracting customers and making your brand recognizable. Your business name can be simple or elaborate, depending on your preference.

However, if the name reflects your company’s identity, it is wise to avoid names with negative connotations or associations with illegal activities.

There are two categories of business names to choose from:

  1. Personal Name
  2. Trade Name
How to Check Your New Company Name with SSM Online System
  1. Visit www.ssm-einfo.my.
  2. Click on the icon “Register as e-Account Member!”
  3. Fill in the “e-Registration Form”, then submit it.
  4. You will receive a message: “Please login now.”
  5. Log in using your username and password.
  6. Once logged in, click on the “Search” icon.
  7. Enter your desired company name in the “By Name” box.
  8. DONE! The name search results from SSM will be displayed.

With these results, you can determine whether your desired company name is already in use or similar to an existing one.

Tips for Choosing a Business Name
  • Keep it concise: A business name should not exceed 50 characters, including spaces.
  • Avoid using numbers, signs, or symbols as part of the name.
  • Be aware of restricted and controlled words:
    • Refer to the Government Gazette No. 716 (30 January 1997), Gazette Amendments of 2001, and words controlled under the Companies Act 1965.

Ensure that the name you choose accurately reflects the type of business you intend to operate. Important: Once a business name is registered, it cannot be altered or changed.

Direction of the Minister under Sections 22(1) and 341
Companies Act 1965

Pursuant to section 22(1) and 341 Companies Act 1965, the Minister directs the Registrar of Companies not to accept for registration any name of a company or a foreign company that is a name or a name of kind mentioned in the Schedule unless prior approval of the Minister has been obtained.

SCHEDULE
  • Names suggesting connection with a member of the Royal Family or Royal patronage including names containing such words as“Royal”, “King”, “Queen”, “Prince”, “Princess”, “Crown”, “Regent”, “Imperial”;
  • Names suggesting connection with a State or Federal government department, statutory body, authority or government agency or any municipality or other local authority including names containing such words as “Federal”, “State”, “National”;
  • Names suggesting connection with any ASEAN, Commonwealth or foreign government or with the United Nations or with any other international organisation or cartel including names containing such words as “ASEAN”, “UNESCO”, “NATO”, “EEC”, “OPEC”;
  • Names suggesting a connection with any political party, society, trade union, co-operative society or building society;
  • Certain words are restricted and cannot be used in a business name without prior approval from the relevant authorities (e.g., Bank Negara Malaysia, Ministry of Higher Education, etc.). These include, but are not limited to:
    “Bank”, “Banker”, “Banking”, “Bumiputra”, “Bureau”, “Chamber of Commerce and Industry”, “Chamber of Manufacturers”, “Chartered”, “College”, “Consumer”, “Council”, “Credit”, “Corporation”, “Exchange”, “Executor”, “Fair Price”, “Finance”, “Foundation”, “Fund”, “Guarantee”, “Holding”, “Institute”, “Insurance”, “Investment”, “International”, “Leasing”, “Made in Malaysia”, “Malaysia”, “Malaysian”, “Prime”, “Registry”, “Royal”, “Treasury”, “Trust”, “Unit Trust”, “University”.
    Words implying government affiliation, royal patronage, or professional qualifications are also restricted.
    Before selecting a name that includes any of these terms, it’s essential to seek clearance or approval from the appropriate government body to avoid delays or rejection during registration.
  • Names that are misleading as to the identity, nature, objects or purposes of a company or in any other manner;
  • Names that are blasphemous or likely to be offensive to members of the public;
  • Names which –
    • are translation of the name of a company or a foreign company registered under the Act; or
    • may resemble or be mistaken for the name of any other company or foreign company registered under the Act; or
    • may resemble or be mistaken for a name that is being reserved for the purpose of incorporation of a new company or registration of a foreign company, or for the purpose of a change of name of a company or foreign company registered under the Act.
