The Companies Act 2016, effective from 31 January 2017, introduced key reforms making it easier, simpler, and more cost-efficient for entrepreneurs to incorporate and manage companies.

  • Single Individual Incorporation: A company can now be incorporated with one shareholder (individual or corporate) and one resident director.
  • Elimination of Authorized Share Capital: Companies are no longer required to declare authorized share capital.
  • Streamlined Incorporation Process: Fewer forms; Company Secretary appointment is optional during incorporation (must be completed within 30 days).
  • Optional Common Seal: A company may opt out of having a common seal.
