Who Can Be a Compliance Officer?

The Compliance Officer must be either:

  1. One of the partners of the LLP, or
  2. A person qualified to act as a Company Secretary under the Companies Act 2016, who:
    • Is a citizen or permanent resident of Malaysia or
    • Ordinarily resides in Malaysia
The Compliance Officer’s Primary Responsibilities:
  1. Registering Changes: Ensuring that any changes to the registered particulars of the LLP are promptly registered.
  2. Maintaining Records: Keeping and maintaining the registers and records of the LLP in compliance with legal requirements.
  3. Publication of LLP Name: Ensuring that the LLP’s name is published in accordance with the provisions of the Act.
  4. Liability for Penalties: The Compliance Officer is personally liable for all penalties, including administrative penalties imposed on the LLP, unless they can prove that they are not liable.

The Companies Act 2016, effective from 31 January 2017, introduced key reforms making it easier, simpler, and more cost-efficient for entrepreneurs to incorporate and manage companies.

  1. Single Individual Incorporation:
    • A company can now be incorporated with one shareholder (individual or corporate) and one resident director, who can also be the sole shareholder.
  2. Elimination of Authorized Share Capital:
    • Companies are no longer required to declare authorized share capital.
  3. Streamlined Incorporation Process:
    • Fewer forms are needed; a promoter/director can handle the incorporation process.
    • Company Secretary appointment is optional during incorporation but must be completed within 30 days post-incorporation.
    • Memorandum (MoA) & Articles of Association (AoA) are optional at the incorporation stage.
  4. Optional Common Seal:
    • A company may opt out of having a common seal. If chosen, it must comply with legal provisions.
  5. Cost-Effective Company Operations:
    • Private companies can forgo Annual General Meetings (AGMs) by using written resolutions.
    • Notices for meetings can be sent electronically, saving time and costs.
  6. Flexible Business Scope:
    • Companies may choose not to specify their objects, allowing unlimited capacity to engage in any lawful commercial activity.
  7. No Par Value for Shares:
    • All shares issued will have no par or nominal value, simplifying accounting and financial statements while offering greater flexibility in pricing shares and raising capital.
